SaaS Subscription & License Agreement

This Software as a Service (SaaS) Subscription Agreement (“Agreement”) is entered into between the customer (“Client”, “Subscriber”, or “User”) and JBMatrix Technology Pvt. Ltd., the developer and owner of the JBMOne platform.

By subscribing to or using the JBMOne platform, the Client agrees to the terms and conditions outlined in this Agreement.

Software License & Usage Rights

JBMOne is provided as a cloud-based Software as a Service (SaaS) platform.

Upon subscription, JBMatrix Technology Pvt. Ltd. grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the JBMOne software for internal business operations only.

This license allows the Client to:

  • Access the software through web or approved interfaces
  • Use system features during the active subscription period
  • Manage their business data through the platform

The license does not grant ownership rights of the software.

The Client may not:

  • Copy the software
  • Distribute the software
  • Resell the software
  • License the software to third parties
  • Host the software independently

Intellectual Property Rights

JBMOne, including but not limited to:

  • Software architecture
  • Source code
  • Algorithms
  • Database design
  • User interface
  • Workflows
  • Product documentation
  • Branding and trademarks

are the exclusive intellectual property of JBMatrix Technology Pvt. Ltd.

All intellectual property rights remain solely with the company at all times.

This Agreement does not transfer any ownership or copyright of the software to the Client.

Source Code Protection

The source code, system framework, database structure, and application architecture of JBMOne remain strictly confidential and proprietary.

Clients are strictly prohibited from:

  • Attempting to access the source code
  • Reverse engineering the platform
  • Decompiling the software
  • Creating derivative software based on JBMOne
  • Replicating system functionality

Any attempt to replicate or reproduce the system will be considered a violation of intellectual property law.

Source code access may only be provided under a separate enterprise licensing agreement, if applicable.

Client Data Ownership & Data Policy

All data entered into the system by the Client remains the exclusive property of the Client.

This includes:

  • Customer data
  • Sales and purchase records
  • Financial data
  • Inventory records
  • Vendor details
  • Employee information
  • Operational records

JBMatrix Technology Pvt. Ltd. will not claim ownership of client business data.

The company will take reasonable measures to ensure:

  • Data security
  • System availability
  • Protection against unauthorized access

However, clients are responsible for ensuring that their login credentials remain secure.

Upon request or termination of service, the client may request a data export in a standard format.

Data Security & Confidentiality

JBMatrix Technology Pvt. Ltd. implements industry-standard security measures to protect client data.

These may include:

  • Secure cloud hosting
  • Encrypted connections (SSL)
  • Access control mechanisms
  • Regular system monitoring

Both parties agree to maintain the confidentiality of sensitive business information exchanged during the use of the platform.

JBMatrix Technology Pvt. Ltd. will not disclose client data to third parties except when required by law.

Subscription Plans & Payment Terms

JBMOne operates on a subscription-based pricing model.

Subscription fees may be charged:

  • Monthly
  • Quarterly
  • Annually

The Client agrees to:

  • Pay subscription fees in advance
  • Maintain active payment status during usage

Failure to make payment may result in:

  • Temporary suspension of service
  • Restricted system access
  • Eventual account termination

Subscription fees are non-refundable once the billing cycle begins unless otherwise agreed.

Service Availability & Support Policy

JBMatrix Technology Pvt. Ltd. will make reasonable efforts to ensure high system availability.

However, temporary service interruptions may occur due to:

  • System upgrades
  • Security updates
  • Maintenance activities
  • External server issues

Technical support may include:

  • Email support
  • Remote assistance
  • Issue troubleshooting
  • System guidance

Standard support hours may apply unless otherwise specified in a separate Service Level Agreement (SLA).

Limitation of Liability

JBMatrix Technology Pvt. Ltd. shall not be held liable for any indirect, incidental, or consequential damages arising from the use of the JBMOne platform.

  • Business losses
  • Data loss due to user negligence
  • System downtime caused by third-party hosting providers
  • Loss of profits or revenue

The total liability of JBMatrix Technology Pvt. Ltd. under this Agreement shall not exceed the subscription amount paid by the Client for the current billing period.

Termination & Suspension

JBMatrix Technology Pvt. Ltd. reserves the right to suspend or terminate service if:

  • The Client violates this Agreement
  • The Client attempts unauthorized system access
  • Subscription payments remain unpaid
  • The system is used for unlawful activities

Upon termination:

  • Client access to the platform may be disabled
  • The client may request export of their data within a reasonable period

JBMatrix Technology Pvt. Ltd. retains full ownership of the software after termination.

Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising out of or related to this Agreement shall be subject to the jurisdiction of courts located in:
